Terms and Conditions: The Profitable Bookkeeper

1. Services and Scope

These terms govern the purchase and implementation of The Profitable Bookkeeper ClickUp Engine™, including the Blueprint, Engine, and Scale Partner Tiers.

The "Engine" includes the proprietary 7-stage workspace structure, the SOP Library Template, and the Email Template Suite.

Scope is limited strictly to the deliverables outlined in your chosen Tier at the time of purchase.

2. Intellectual Property (IP) License

Ownership: All Intellectual Property in the Engine, including but not limited to ClickUp structures, SOPs, checklists, Loom training frameworks, and email templates, remains the sole property of The Profitable Bookkeeper.

Limited License: Upon payment, the Client is granted a non-exclusive, non-transferable, single-firm license to use the Engine for their internal business operations.

Strict Prohibitions: The Client must not resell, sub-license, distribute, or share the Engine assets, SOPs, or templates with third parties or other bookkeeping firms.

3. Implementation and Timeline

The standard implementation period is 28 days from the receipt of all required client data and access.

The Client is responsible for providing timely access to necessary software (e.g., ClickUp) and client data for migrations.

Delays caused by the Client’s failure to provide information may result in an extension of the implementation timeline.

4. Fees and Payment

All prices are in AUD and must be paid in full via Stripe before the delivery of digital assets or the commencement of Phase 1: The Audit.

The Client is responsible for their own third-party software subscription costs (e.g., ClickUp, Xero, MYOB).

5. Refund Policy

Due to the immediate delivery of proprietary intellectual property and digital assets (SOPs and Templates), all sales are final.

No refunds will be issued once the Client has been granted access to the Master 7-Stage Workspace or the SOP Library.

6. Limitation of Liability

The Profitable Bookkeeper provides an operational framework based on 17+ years of industry experience.

While the Engine is designed to identify "Profit Leaks," we do not guarantee specific financial outcomes or revenue increases.

We are not liable for any data loss or errors occurring within the Client's third-party software (Xero, MYOB, etc.).

7. Confidentiality

Both parties agree to keep all business information, client data, and proprietary methods confidential during and after the term of the agreement.
